1. Acceptance of Terms

By accessing or using LivingCare Pro's care management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including facility administrators, staff members, and any other authorized users.

2. Description of Service

LivingCare Pro provides a cloud-based care management platform for assisted living facilities. Our Service includes resident management, medication tracking, vitals monitoring, care documentation, staff scheduling, and related features. The specific features available to you depend on your subscription plan.

3. Account Registration

To use our Service, you must:

  • Be at least 18 years old
  • Provide accurate, current, and complete registration information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4. Subscription and Payment

Subscription Plans

We offer various subscription plans with different features and pricing. Plan details and current pricing are available on our website.

Free Trial

New customers may be eligible for a free trial period. At the end of the trial, you must subscribe to continue using the Service.

Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms.

Price Changes

We may modify our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations, including HIPAA
  • Share your account credentials with unauthorized persons
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Transmit viruses, malware, or other harmful code
  • Use the Service to store or transmit infringing content
  • Reverse engineer or attempt to extract source code
  • Use the Service for competitive analysis

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Ownership: You retain ownership of all data you enter into the Service. We do not claim ownership of your content.

Data Processing: By using the Service, you grant us the right to process your data as necessary to provide the Service. For healthcare-related data, we act as your Business Associate under HIPAA.

7. HIPAA and Business Associate Agreement

If you use our Service to store, process, or transmit Protected Health Information (PHI), you must enter into a Business Associate Agreement (BAA) with us. The BAA is incorporated into these Terms.

You are responsible for ensuring that your use of the Service complies with HIPAA and other applicable healthcare regulations.

8. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by LivingCare Pro and protected by intellectual property laws. You are granted a limited, non-exclusive license to use the Service for its intended purpose.

You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance (with advance notice when possible)
  • Update or modify the Service
  • Suspend service for security or legal reasons

We are not liable for any downtime or service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE PAST 12 MONTHS

11. Indemnification

You agree to indemnify and hold harmless LivingCare Pro and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

By You: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or other reasons with notice.

Effect of Termination: Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days after termination.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Baltimore, Maryland, under the rules of the American Arbitration Association.

You waive any right to participate in class action lawsuits against us.

14. General Provisions

  • Governing Law: These Terms are governed by the laws of Maryland
  • Entire Agreement: These Terms constitute the entire agreement between you and LivingCare Pro
  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • No Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
